Denomination and Headquarter

Article 1

EVOLUTIO INTERNATIONAL (here after called “The Association”) is a non-lucrative association governed by the following status and subsidiary by articles 60 and following of the Swiss civil code.

Article 2

The association is headquartered in Geneva, Switzerland.

Its duration is undetermined

Objectives:

Article 3

The association

a) pursues no lucrative aim

b) pursues the following aims:

-encourages the human and social development with respect and dignity through the promotion of Social capital

-does its best to coordinate and promote the efforts that contribute to the human and social durable development of the underprivileged communities

-elaborate an exchange platform of know how and resources

-initiates and /or supports local initiatives/projects in the following areas:

  • Health - hygiene prevention
  • Education - basic, professional and civic
  • Economy - agrosilvopastoral production (alimentary auto sufficiency), arts and crafts, trade
  • Environment - protection of the nature, hygiene of the area and conscious rising campaigns of the population
  • Culture - any form of expression, autochthones and participative, sportive.

Resources :

Article 4

The resources of the association come from:

subscription and donations of active and passive members

  1. donations or sponsorship (public/ private)
  2. benefices of its fund rising activities
  3. subsides
  4. legs

The funds will be used in accordance with the goals defined in article 3.

Members

Article 5

Admission criteria: Can be a member of the association

  1. Anyone who identifies to the goals of the association defined in article 3
  2. Anyone devoted to the Ethical charter
  3. Anyone who has paid the subscription planed by the qualified majority of the Executive Committee
  4. The Executive Committee retains the right to chose it’s members

Exclusion criteria: The quality of member can be loosed:

a)    through death

b)    through resignation, announced at least six months before the end of his task

c)    For a valuable motive (grave reasons) through exclusion by the Executive Committee or by the General Assembly in case of appeal.

d)    Through non-payment of the subscription

The apparatus

Article 6

The organs of the association are the:

a)    General Assembly

b)    Executive Comity

c)    Support Comity

Article 7

The General Assembly is the supreme power of the association. It is composed of the members

It gathers once a year in an ordinary session. It can, furthermore, gather in an extraordinary session every time it proves necessary or at the instance of the qualified majority of the members.

The General Assembly is validly constituted no matter how many present members they are. The convocation mentioning the order of the day, as well as the necessary documents to bring is given by the Executive committee to every member at least three weeks in advance. Eventual demands coming from the members must get to the president in a written form at least 10 days before the date fixed by the General Assembly.

Article 8

Functions of the General Assembly

a)    approbation of the protocol

b)    decision making regarding the demands from the Exco and/or the members

c)    nomination of the members of the Executive Committee and elects the president following the recommendations of the Executive Committee. The proposition of the candidate to the presidency is an exclusive competence of the Executive Committee. Nevertheless, the General Assembly can, with a qualified majority of present members suggest one or more candidate/s of its choice.

d)         examines the annual reports and the annual bilan of the current year and            expresses its considerations about it

e) controls the activity of the other organs which it can dismiss with valuable motives

f) chooses the control authority

Article 9

The decisions of the General Assembly are generally voted by a qualified majority among the present members

The decisions relative to the modification of the status and to the dissolution of the association can only be taken at the qualified majority of the present members

Article 10

The Executive Committee is composed of the elected members of the General Assembly.

The duration of the mandate is of 12 months renewable automatically unless contrary decision of the General Assembly. The duration of president’s mandate is of 6 months non renewable unless contrary decision of the Executive Comity

Article 11

The Executive Committee can implement all necessary acts to the fulfilment of the goals of the association. It enjoys the most extended powers for the management of business activities. It makes decisions on the admission and exclusion of members, notably regarding article 3 and 5 and all the present status in general.

Article 12

The association is validly engaged in the collective signature of the members of the Executive Committee.

Article 13

The Support Commitee is composed of members elected by the Executive Commitee. Each member can choose the duration of its commitment. Every member of the Support Comity pays a subscription. In case of demission, he/she must announce his/her decision within reasonable delays. The person on leave must respect its obligations until the end.

 Article 14

The Support Committee is competent to support the Executive Committee and to assist it in the management of the business activities.

Article 15

  1. the General Assembly names a person embodying the control instance. The mandate covers one year. A re-election remains possible.
  2. The control instance verifies the annual bilan. The control authority reports on an annual basis to the General Assembly and submits its demands.

Various dispositions

Article 16

The business year begins on January 1st and ends on December 31st of every year.

The accounts are verified every year by the control authority nominated by the General Assembly

Article 17

Only the social capital of the association is responsible for the realization of the obligations

In case of dissolution, the accounts are verified every year by the instance de control named by the general assembly

Article 17

Only the social capital of the association is responsible of the fulfilment of the obligations

In case of dissolution of the association, the social active will be given to an institution with aims analogue to the association.

This status comes into force on Decembre 2nd  2006 with the approbation of the Executive Comity. Only the original version of this status in French must be considered as the official version.
